Terms of Service

1. About these Terms

These Terms of Service ("Terms") form a legal agreement between BIG GOFER LTD ("we", "us", "our", or "HoneyBill"), a company registered in England and Wales with company number 14561573 and registered office at 71-72 Shelton Street, London, WC2H 9JQ, and you, the person or entity using HoneyBill ("you", "your", or "User").

By creating an account or using the HoneyBill service, you agree to these Terms. If you do not agree, do not use the service.

2. Definitions

Service: the HoneyBill platform, including the website at honeybill.ai, the web application, and all related features.

Account: the user account you create to access the Service.

Subscription: a paid recurring plan giving you access to the Service.

Lifetime Deal: a one-time purchase made through AppSumo or another approved partner granting access for the lifetime of the Service.

Your Content: any data, files, customer information, invoices, contracts, time entries, or other material you upload, create, or generate using the Service.

AI Features:features within the Service that use third-party large language models to assist with invoice generation and other tasks (referred to as "HoneyAI").

3. Acceptance and Eligibility

You confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of a business, you confirm that you have authority to bind that business to these Terms.

The Service is intended for use by freelancers, contractors, consultants, and small businesses. We reserve the right to refuse service or terminate accounts at our discretion in line with these Terms.

4. Account Registration

You agree to:

• Provide accurate, current, and complete information when registering
• Keep your login credentials confidential
• Notify us promptly of any unauthorised access at legals@honeybill.ai
• Be responsible for all activity under your account

You are solely responsible for the security of your account, including any third-party access (such as when you connect Gmail, Outlook, or Stripe).

5. The Service

HoneyBill provides a financial operations platform for freelancers, including (but not limited to) invoice generation, invoice sending from your own email, time tracking, project management, customer management, multi-currency billing, and payment collection through integrated payment processors.

We may add, modify, or remove features over time. We will give reasonable notice of significant changes that materially reduce the functionality of features you actively use.

6. AI Features

HoneyAI is powered by third-party large language model providers, currently OpenAI and Google (Gemini). When you use AI Features:

• The text or voice input you provide is sent to the AI provider for processing
• The AI provider processes the input under their own terms; we have a data processing agreement with each provider that prohibits training on your input
• AI-generated outputs (drafted invoices, suggestions) may contain errors. You are responsible for reviewing and approving every AI-generated output before sending it to a client
• We do not guarantee the accuracy, completeness, or fitness for purpose of AI-generated content
• You will not use AI Features to generate unlawful, deceptive, or harmful content

We do not use the content of your AI prompts or outputs to train any model.

7. Email Integration

When you connect a Gmail or Outlook account, you authorise HoneyBill to send emails on your behalf using that account, solely for the purpose of sending invoices, payment links, reminders, and related communications you initiate or schedule.

You are responsible for:

• Complying with the terms of your email provider
• The content of any email sent through the integration
• Ensuring you have the recipient's permission to email them where applicable under PECR, UK GDPR, or other laws

You can revoke email integration access at any time from your HoneyBill settings or your email provider's security settings.

8. Payment Processing

HoneyBill uses Stripe to process payments from your clients. Stripe operates under its own terms of service (stripe.com/legal). When your client pays an invoice:

• Funds are processed by Stripe and paid into your connected Stripe account
• Stripe's processing fees apply (see stripe.com/pricing)
• HoneyBill takes no fee from your client payments beyond Stripe's standard processing
• We are not party to the underlying transaction between you and your client

You are responsible for:

• Providing accurate billing and tax information to your clients
• Complying with applicable tax law in your jurisdiction
• Resolving any disputes, refunds, or chargebacks with your clients

9. Subscriptions and Billing

Subscription plans are billed in advance on a recurring monthly basis. Pricing is shown on the HoneyBill pricing page and is subject to change with at least 30 days' notice for existing subscribers.

You can cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until that date.

We do not refund partial months unless required by law.

10. Lifetime Deals

If you purchased a Lifetime Deal through AppSumo or another approved partner:

• Your access continues for the lifetime of the Service, subject to these Terms and the specific deal terms shown at the point of purchase
• Refunds for Lifetime Deals are governed by the partner's refund policy. AppSumo currently offers a 60-day money-back guarantee
• Lifetime Deal entitlements are not transferable except where the partner permits transfer
• Future updates to features included in your tier are available unless otherwise stated at purchase
• Some advanced features may be reserved for paid Subscription tiers and not included in Lifetime Deals. Such restrictions will be clearly stated at the point of purchase

If the Service is discontinued, we will provide reasonable notice (at least 90 days) and a means to export Your Content.

11. Cancellation and Refunds

For Subscriptions: cancel anytime, no refund for the partial period unless required by law.

For Lifetime Deals purchased through AppSumo: refunds are available within 60 days of purchase per AppSumo's policy.

Where required by UK consumer law, you have a 14-day right to cancel digital services unless you expressly waive this right by starting to use the Service within that period. By accessing your account and using HoneyBill, you may be waiving that right; we will make this clear at sign-up.

12. Acceptable Use

You will not:

• Use the Service for any unlawful purpose
• Use the Service to send spam, phishing, or unsolicited commercial communications
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Probe, scan, or test the vulnerability of the Service without our prior written permission
• Use the Service to violate any third party's rights, including intellectual property or privacy
• Upload malicious code, viruses, or harmful content
• Resell, sublicense, or commercially exploit the Service except as expressly permitted
• Use AI Features to generate content that is fraudulent, defamatory, deceptive, or that infringes another party's rights

We may suspend or terminate accounts that breach this section without notice.

13. Your Content

You retain all rights to Your Content. You grant us a limited, worldwide, royalty-free licence to host, process, transmit, and display Your Content solely to provide and improve the Service.

You are solely responsible for Your Content, including its lawfulness and accuracy. You confirm you have all necessary rights and consents to upload Your Content (including, where relevant, your clients' personal data).

When you upload customer or client personal data into HoneyBill, you act as the data controller for that personal data, and we act as the data processor on your behalf. The terms of our processing are set out in our Data Processing Addendum, available on request from legals@honeybill.ai.

14. Intellectual Property

The Service, including the HoneyBill name, logo, software, design, and all related materials, is owned by BIG GOFER LTD and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

Nothing in these Terms transfers ownership of any of our intellectual property to you.

15. Third Party Services

The Service integrates with third party services including Stripe, Gmail, Outlook, and AI providers. These services operate under their own terms; we are not responsible for their availability, behaviour, or policies. Your use of any third party service through HoneyBill is at your own risk.

16. Service Availability

We aim to keep the Service available at all times but do not guarantee uninterrupted access. The Service is provided "as is" and "as available". We may perform maintenance, updates, or repairs that result in temporary unavailability and will give reasonable notice where practical.

17. Termination

You can terminate your account at any time from your settings.

We may suspend or terminate your account if you breach these Terms, fail to pay, or use the Service in a way that creates risk for us or other users. Where reasonably practical, we will give you notice and an opportunity to remedy.

On termination:

• Your access to the Service ends
• We will provide a reasonable means to export Your Content for a period of at least 30 days after termination
• Sections of these Terms that by their nature survive termination (such as IP, liability, and indemnity) will continue

18. Limitation of Liability

Nothing in these Terms limits or excludes our liability for:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be limited or excluded under applicable law

Subject to the above:

• We will not be liable for any indirect, incidental, special, or consequential losses
• We will not be liable for loss of profit, loss of business, loss of revenue, loss of goodwill, or loss of data
• Our total aggregate liability arising out of or in connection with these Terms in any 12-month period will not exceed the greater of (a) the total amount you have paid us in that 12-month period, or (b) £100

19. Indemnification

You will indemnify and hold harmless BIG GOFER LTD, its directors, employees, and affiliates against any claims, damages, costs, or expenses (including reasonable legal fees) arising out of:

• Your use of the Service in breach of these Terms
• Your Content, including any claim that Your Content infringes a third party's rights
• Your breach of any applicable law

20. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will give notice (such as by email or in-app notice) at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not accept the updated Terms, you may terminate your account before they take effect.

21. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where applicable consumer protection law gives you the right to bring proceedings in your country of residence.

If you have a complaint, please contact us first at legals@honeybill.ai. We aim to resolve complaints within 30 days.

22. Miscellaneous

Entire agreement: these Terms, together with our Privacy Policy and Cookies Policy, form the entire agreement between us regarding the Service.

Severability: if any provision is found unenforceable, the rest of these Terms remain in effect.

No waiver: failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment: you may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Notices: legal notices to us should be sent to legals@honeybill.ai or to BIG GOFER LTD at our registered office.
